1. Acceptance of Terms
By engaging CBC Framing Inc. ("Company," "we," "us," or "our") for any construction, framing, or related services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and CBC Framing Inc. If you do not agree to these terms, please do not engage our services.
These Terms of Service apply to all work performed by CBC Framing Inc., including but not limited to residential framing, commercial framing, structural repairs, seismic retrofitting, and any additional construction-related services we may offer. We reserve the right to update or modify these terms at any time, and any changes will be effective upon posting to our website.
2. Services Description
CBC Framing Inc. provides professional structural framing and construction services throughout California's San Fernando Valley. Our services include, but are not limited to:
- Residential wood framing for new construction, additions, and remodels
- Commercial framing for retail, office, and mixed-use developments
- Custom home framing including complex roof systems and engineered structures
- Seismic retrofitting and structural reinforcement
- Metal stud framing for commercial and multi-family projects
- Structural repairs and reconstruction
- Consultation and project planning services
All work is performed in accordance with the California Building Code (CBC), local building ordinances, and applicable engineering specifications. We are a licensed contractor operating under California Contractor License #1098452.
3. Estimates and Pricing
3.1 Written Estimates
All project estimates provided by CBC Framing Inc. are based on the information available at the time of assessment, including architectural plans, site conditions, and material specifications. Estimates are valid for thirty (30) days from the date of issuance unless otherwise stated in writing.
3.2 Pricing Adjustments
Prices are subject to change based on the following conditions:
- Changes in material costs exceeding ten percent (10%) from the date of estimate
- Modifications or additions to the original scope of work requested by the Client
- Unforeseen site conditions that could not have been reasonably anticipated during the initial assessment, such as hidden structural damage, hazardous materials, or soil instability
- Changes to building code requirements or engineering specifications after the estimate date
- Delays caused by factors outside the control of CBC Framing Inc.
Any pricing adjustments will be communicated to the Client in writing prior to the commencement of the affected work, and written approval from the Client will be obtained before proceeding with any additional charges.
3.3 Change Orders
Any modifications to the agreed-upon scope of work must be documented through a formal change order. Change orders will include a description of the additional or modified work, the associated cost adjustment, and any impact on the project timeline. Work on change orders will not commence until the change order is signed by both parties.
4. Payment Terms
4.1 Payment Schedule
Unless otherwise agreed upon in writing, the following payment schedule applies to all projects:
- A deposit of twenty-five percent (25%) of the total estimated project cost is due upon execution of the contract, prior to the commencement of work
- Progress payments are due at agreed-upon milestones as outlined in the project contract
- The final payment, including any balance due for change orders, is due upon completion and final inspection of the work
4.2 Accepted Payment Methods
We accept payment by check, bank transfer (ACH), and credit card. Credit card payments may be subject to a processing fee of up to three percent (3%) of the transaction amount.
4.3 Late Payments
Payments not received within fifteen (15) days of the due date will incur a late fee of one and a half percent (1.5%) per month on the outstanding balance. CBC Framing Inc. reserves the right to suspend work on any project with outstanding overdue payments until the account is brought current. Continued non-payment may result in the filing of a mechanic's lien against the property in accordance with California Civil Code Sections 8400-8494.
5. Project Timeline
5.1 Scheduling
Project start dates and estimated completion timelines are provided based on current workload and material availability at the time of contract execution. While we make every reasonable effort to adhere to the agreed-upon schedule, timelines are estimates and not guarantees.
5.2 Delays
CBC Framing Inc. shall not be held liable for delays resulting from:
- Adverse weather conditions, including rain, extreme heat, or high winds that make outdoor work unsafe
- Material shortages or supply chain disruptions beyond our reasonable control
- Changes in project scope requested by the Client or the Client's architect or engineer
- Delays caused by other trades or subcontractors not under our direct supervision
- Permitting or inspection delays by local building authorities
- Force majeure events, including natural disasters, pandemics, government orders, or labor disputes
We will notify the Client promptly of any anticipated delays and provide a revised estimated completion date.
6. Warranties
6.1 Workmanship Warranty
CBC Framing Inc. warrants all workmanship for a period of two (2) years from the date of project completion. This warranty covers defects in framing installation that result from errors in our labor or craftsmanship. If a defect covered under this warranty is identified within the warranty period, CBC Framing Inc. will repair or correct the defect at no additional cost to the Client.
6.2 Material Warranty
Materials used in our projects are covered by the respective manufacturer's warranties. CBC Framing Inc. does not provide separate warranties on materials but will assist the Client in processing any manufacturer warranty claims during the warranty period.
6.3 Warranty Exclusions
The workmanship warranty does not cover:
- Damage resulting from natural settling, soil movement, or seismic activity
- Damage caused by modifications or work performed by others after project completion
- Normal wear and tear, including minor shrinkage or movement of lumber due to seasonal changes in temperature and humidity
- Issues arising from design deficiencies in the architectural or engineering plans not attributable to CBC Framing Inc.
- Damage caused by water intrusion, pest infestation, or neglect by the property owner
7. Limitation of Liability
To the maximum extent permitted by California law, the total liability of CBC Framing Inc. for any and all claims arising out of or related to our services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
In no event shall CBC Framing Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of use, or business interruption, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.
Nothing in these terms shall limit liability for personal injury or death caused by our negligence, or for fraud or fraudulent misrepresentation.
8. Cancellation Policy
8.1 Cancellation by Client
The Client may cancel a project at any time by providing written notice to CBC Framing Inc. In the event of cancellation:
- If cancellation occurs before work has commenced, the Client is entitled to a refund of the deposit minus a cancellation fee of ten percent (10%) of the total contract value to cover administrative and planning costs
- If cancellation occurs after work has commenced, the Client shall be responsible for payment of all work completed to date, materials ordered or delivered to the job site, and any restocking fees or return shipping charges for materials that cannot be returned
8.2 Cancellation by CBC Framing Inc.
CBC Framing Inc. reserves the right to cancel or withdraw from a project under the following circumstances:
- Non-payment or repeated late payment by the Client
- Unsafe site conditions that cannot be reasonably remediated
- Client's failure to obtain necessary permits or approvals
- Material breach of the contract terms by the Client
In the event of cancellation by CBC Framing Inc. for reasons not attributable to the Client, we will refund any prepaid amounts for work not yet performed.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of or related to these terms or the services provided by CBC Framing Inc. shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation. If informal negotiation does not resolve the dispute within thirty (30) days, either party may pursue mediation through a mutually agreed-upon mediator in Los Angeles County, California. The costs of mediation shall be shared equally between the parties.
